These Terms of Service (the “Terms”) constitute a legally binding agreement between you, the user and customer of our e-commerce platform, and ‌JEMAFLEX DE MÉXICO, S.A. DE C.V.‌ (“we”, “us”, “our”). By accessing, browsing, registering an account, placing orders, or using any features of our official website www.jemaflexdecor.com, you fully acknowledge that you have read, understood, and agreed to be bound by all clauses outlined in these Terms, in full compliance with applicable Mexican federal laws including the Federal Consumer Protection Law, Federal Law on Protection of Personal Data Held by Private Parties, and relevant cross-border e-commerce regulatory rules. If you do not agree with any part of these Terms, you must immediately cease all access to and use of our platform.

All services we provide on the website are designed around this mission, and these Terms are established to protect the legitimate rights and interests of both parties, ensure fair trade practices, and build long-term, transparent trust between our team and every member of our user community.

1. Eligibility for Platform Use

You confirm that you are at least 18 years of age or have reached the legal age of majority in the jurisdiction you reside in, or if you are under the legal age of majority, you are using our platform under the full supervision and explicit consent of a parent or legal guardian who agrees to be fully responsible for all your account activities, order placements, and corresponding payment obligations.

You are prohibited from using our services if you have previously been suspended, restricted, or permanently banned from our platform due to violation of these Terms, fraudulent activities, or other behaviors that cause harm to our operational interests or other users’ rights. We reserve the right to reject new account registrations, suspend existing accounts, or refuse to provide services to any user at our reasonable discretion, without the need to provide excessive public justification as long as such actions comply with applicable Mexican legal requirements.

2. User Account Registration and Security Obligations

When you create a user account on our platform, you are required to provide accurate, complete, up-to-date personal information, including your valid email address, contact phone number, and real name information that matches your official government-issued identification. We strictly prohibit the registration of fake accounts, batch-generated bot accounts, or accounts impersonating other natural persons or legal entities. You are solely responsible for updating your account information in a timely manner to ensure all details remain accurate at all times.

You will set a unique, secure password for your account, and you are fully obligated to maintain the confidentiality of your account credentials. You agree to take full responsibility for all activities, operations, order placements, and transactions that occur under your account, whether the operations are authorized by you or not. If you detect any unauthorized access to your account, credential leakage, or suspicious activity, you must notify our support team immediately. We will not be liable for any property loss or data damage caused by your failure to properly safeguard your account password, or your delay in reporting unauthorized access incidents to our team.

We reserve the right to perform identity verification for high-risk accounts or accounts that show abnormal operational patterns at any time, including requesting you to provide a copy of your official identification document, a proof of address, or a verification selfie, to confirm that the account belongs to the legitimate real user. If you refuse to complete the required identity verification process within the specified timeframe, we have the right to temporarily restrict the order placement function of your account until the verification process is completed successfully.

3. Product Information, Pricing, and Order Placement Rules

We make every reasonable effort to ensure that all product descriptions, photos, size parameters, material introductions, and usage guidance displayed on www.jemaflexdecor.com are as accurate and consistent as possible with the actual home decor pieces in our inventory. However, due to differences in individual display screen color calibration, minor color or texture variations between the physical product and the online display image do not constitute a product quality defect, and we do not provide compensation for such normal, non-material discrepancies. All limited-edition, small-batch handcrafted decor pieces will be explicitly marked on their product pages to notify users that minor unique manual traces are inherent characteristics of the product, and are not considered defects.

All prices displayed on our website are denominated in Mexican Pesos (MXN) by default, unless a different currency marking is explicitly specified for specific regional international shipping scenarios. Product prices do not include applicable value-added taxes, shipping fees, customs duties for international orders, or possible administrative processing fees, which will be clearly calculated and separately displayed on your checkout page before you confirm and submit your order. We reserve the right to adjust product pricing, launch promotional activities, or modify service fee standards at any time, and any price adjustment will not affect the orders that have been successfully paid and confirmed before the adjustment takes effect.

Once you submit an order and complete the corresponding payment, a binding sales contract is formed between you and us. We will send you an official order confirmation email to the email address bound to your account immediately after the payment is verified successfully. We reserve the right to cancel any confirmed order if the corresponding product is found to be out of stock due to unexpected inventory system errors, or the product price is marked with an abnormally low price caused by obvious system technical failures. If we cancel a valid paid order under such circumstances, we will notify you in advance and process a full refund of the corresponding order amount to your original payment account, and we will not be liable for any indirect loss caused by the order cancellation.

You are strictly prohibited from submitting malicious bulk orders, speculative orders that exceed your normal daily household usage scope, or orders with the purpose of reselling our products for commercial profit without our prior written commercial cooperation authorization. We have the right to cancel such abnormal orders directly, and restrict the corresponding account from placing new orders.

4. Intellectual Property Rights Protection

All content published on www.jemaflexdecor.com, including but not limited to website page design, original text descriptions, product photos, videos, graphic logos, brand trademarks, software codes, system architecture, and all platform function designs, is protected by Mexican intellectual property laws and international copyright treaty provisions. All related intellectual property rights are exclusively owned by JEMAFLEX DE MÉXICO, S.A. DE C.V. or our authorized licensors.

Without our prior explicit written permission, you may not copy, reproduce, distribute, publicly display, modify, upload to other third-party platforms, use for commercial resale promotion, or create derivative works based on any of the protected content on our website. You are prohibited from using our brand name, registered trademarks, or product images without authorization in any third-party e-commerce stores, social media accounts, or offline commercial channels to conduct misleading commercial activities that may confuse consumers. Any violation of our intellectual property rights will constitute a material breach of these Terms, and we reserve the right to pursue full legal compensation for all losses caused by the infringement.

When you publish user-generated content on our platform, including but not limited to product reviews, decor sharing photos, feedback texts, you grant us a non-exclusive, royalty-free, worldwide, perpetual, transferable license to use, reproduce, modify, distribute, and display such content for the purpose of promoting our platform and home decor products. You confirm that you own all legal intellectual property rights for the user-generated content you publish, and the content does not infringe the legitimate rights of any third party, including copyright, portrait right, or reputation right. We reserve the right to remove any user-generated content that contains illegal, obscene, threatening, defamatory, or discriminatory content at any time without prior notification.

5. Prohibited User Conduct

When using our platform services, you explicitly agree that you will not perform any of the following prohibited behaviors:

Any behavior that violates applicable Mexican federal laws, local regulations, or international legal conventions, including but not limited to money laundering, fraud, smuggling, or trading illegal prohibited items via our platform.
Unauthorized access to our platform system, steal other users’ personal data, crack our system security mechanism, send malicious viruses, launch distributed denial-of-service attacks, or interfere with the normal operation of our website.
Harass, threaten, abuse, or infringe the personal safety, reputation, or legitimate rights and interests of our customer service staff or other platform users.
Submit fake transaction records, maliciously submit false product quality complaint reports, collude with others to conduct malicious fraud against our platform to obtain improper compensation or refunds.
Use any automated programs, crawler tools, robots, or other unauthorized methods to scrape platform data, grab inventory resources, or disrupt the normal order of our platform operation.

Once we confirm that you have performed any of the prohibited behaviors listed above, we have the right to immediately suspend or permanently ban your user account, freeze all unprocessed transactions under your account, and reserve the right to report the relevant situation to the local competent judicial authority to pursue corresponding legal responsibilities.

6. Limited Liability Disclaimer

To the maximum extent permitted by applicable laws, our platform provides all services on an “as is” and “as available” basis. We do not make any express or implied warranties that the operation of our website will be completely uninterrupted, 100% error-free, or fully meet all your personal usage expectations. We are not liable for any temporary service interruption caused by server maintenance, system upgrade, network communication failure, force majeure events such as natural disasters, extreme weather, government policy adjustments, or other objective circumstances beyond our reasonable control.

Under no circumstances will we be liable for any indirect loss, consequential loss, loss of expected profit, loss of business reputation, or data damage that arises from your use of our platform services, even if we have been notified in advance of the possibility of such potential losses. The total maximum aggregate compensation amount we bear for any dispute related to platform services will not exceed the total actual amount you have paid to us for the corresponding order that causes the dispute.

Some jurisdictions do not allow the exclusion of implied warranties or the limitation of liability for incidental damages, so part of the above disclaimer clauses may not fully apply to you according to the mandatory legal provisions of your local region.

7. Modification of Terms and Service Adjustment

We reserve the right to update and modify these Terms at any time according to the adjustment of our business operation needs, the change of applicable regulatory requirements, or the iteration of platform new functions. We will post the revised version of the Terms on a prominent position on the homepage of www.jemaflexdecor.com, and mark the new revised effective date clearly. We will also notify you of the material changes of the Terms via the email address bound to your account at least 10 days before the revised Terms officially take effect.

If you continue to access our platform and place new orders after the revised Terms take effect, it will be deemed that you fully agree to all the modified clauses in the new Terms. If you do not agree with the revised Terms, you have the right to stop using our services and apply for closing your user account. We will not arbitrarily close your valid account without proper reasons that comply with these Terms.

We also reserve the right to temporarily suspend, or permanently terminate part or all of the e-commerce service functions on our website after sending 30 days’ public notification on our official platform, for business adjustment needs. After the service termination, we will properly handle all unshipped paid orders in accordance with our published after-sales rules, and process corresponding refunds for users if the order cannot be fulfilled normally.

8. Governing Law and Dispute Resolution

These Terms are governed and interpreted in full accordance with the laws of the United Mexican States. Any dispute, controversy, or claim arising out of or related to these Terms, the use of our platform, or the sales transactions of our home decor products, will first be resolved through friendly equal consultation between you and our support team.

If the relevant dispute cannot be resolved through friendly consultation within 30 days after one party submits the consultation request, either party has the right to submit the dispute to the competent court located in the State of Mexico for judicial resolution. For cross-border international users, they also have the right to submit consumer complaints to the local competent consumer protection authority according to the local regulatory rules.

If any individual clause in these Terms is deemed invalid or unenforceable by a competent judicial authority, the remaining other clauses of these Terms will still remain in full legal force and effect, and will not be affected by the invalidation of the individual clause.

9. Full Agreement

These Terms, together with our independently published Privacy Policy, Shipping Policy, and Refund and Returns Policy posted on our official website, constitute the full and complete legally binding agreement between you and us, and replace all previous oral or written communications, understandings, or agreements related to the use of our e-commerce platform services. No modification or supplementary clause of this agreement will take effect unless it is issued in written form and signed by our duly authorized legal representative.
